Unless otherwise specified in a separate agreement, all deliverables and work products created by JKL System remain our property until full payment is received. Upon payment, ownership rights will be transferred as specified in the applicable service agreement.

Payment terms will be specified in each service agreement. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges and may result in suspension of services.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation continues even after the termination of services.
Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality obligations.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in a service agreement:
To the maximum extent permitted by law, JKL System shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.
Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the 12 months preceding the claim.
You agree to indemnify and hold harmless JKL System, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:
These Terms remain in effect while you use our services. Either party may terminate a service agreement as specified in that agreement.
We reserve the right to suspend or terminate your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.
Upon termination, you must cease all use of our services, and any outstanding payment obligations become immediately due.
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations between the parties.
If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, with the arbitration taking place in Ontario, Canada.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a new effective date.
Your continued use of our services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and JKL System regarding the use of our services and supersede all prior agreements and understandings.
